本書分為分析、詮釋合同法及案例學習兩大部分。分析、詮釋合同法是為了使讀者對合同法精要有一個較為全面和深入的認識；案例學習旨在增強提高讀者對合同法、美國司法程序、法律科學分析、定量研究方法以及爭議解決方法等諸多方面的認知以及培養和提高讀者解決問題的能力。

于丹翎，美國斯坦福大學法學博士。美國律師協會會員、紐約執業律師、中國執業律師，在美國跨國律師事務所長年從事律師工作，在國際商業法律、公司合併、買賣、公司融資、銀行融資、能源開發服務等方面的法律業務領域擁有豐富的實踐經驗。現在外交學院執教，吉林大學經濟與法律研究中心研究員。

於教授在國際法、美國商法、公司法和公司治理領域多有著述。多次應邀對政府機關和行業協會發表法律專題演講。曾應美國律師協會之邀出席美國全國法學院最高法院模擬口辯賽法官。
